Procedure for incorporating a company

You have two options for doing business on the Dutch market: either you can incorporate a company, or you can set up an establishment. Unlike an establishment, an incorporated company offers you separate legal personality in the Netherlands.

The best legal form for you

When you incorporate a company, there are various legal forms to choose from. The best option in your particular situation depends on various factors, including the preferred business structure, the capacity of the shareholders, the country in which the shareholders are established and the operations you are planning to conduct in the Netherlands.

Possible legal forms

The most commonly used legal forms in the Netherlands are the private limited liability company (besloten vennootschap, often abbreviated to BV) and the public limited liability company (naamloze vennootschap, or NV). In some situations, you also have the option of setting up a cooperative society (coöperatie). The most important features of these different types of legal entities are:

Private limited liability company: no minimum share capital, requires at least one shareholder and director.
Public limited liability company: minimum share capital of € 45,000, requires at least one shareholder and director.
Cooperative society: no minimum capital, requires at least two members.

Incorporating a legal entity

Legal entities can only be incorporated by a Dutch civil-law notary (notaris). The Netherlands enforces strict statutory identification rules. Before the civil-law notary can begin, you will need to submit paperwork identifying the founders, the shareholders and the directors. The same identification rules apply when you engage the services of a financial adviser or wish to open a bank account. Make sure that you have the necessary documents ready on time.

Incorporating a company with van oers

Commercial register and registration with the tax authorities

Once the entity has been incorporated, the civil-law notary lists the company in the commercial register of the Chamber of Commerce (Kamer van Koophandel). The Chamber of Commerce then notifies the Dutch Tax and Customs Administration, where the company is registered for the applicable taxes. The KvK registration number from the Chamber of Commerce and the tax registration numbers will be sent to the legal entity’s address.
